Do hereby nominate, constitute and appoint ............. being members of the Bar Association of ………… (hereinafter the “Attorneys”) with power to act jointly or severally, to represent our Company in all disputes and claims and any contentious matters arising or may arise in the Republic of Turkey in any capacity and entitlement to the fullest extent of Law before all administrative, judicial (all degrees of Turkish Courts and Bailiff’s Offices), and financial authorities as well as other authorities, to commence, lodge, prosecute, enforce, defend, reply to and oppose in respective capacities of plaintiff or third party as the case may be in terms of all legal proceedings, demands before all and any competent courts of the Republic of Turkey in any degree of competence, to enforce foreign arbitration awards, to carry out all investigations and inspections before the public authorities of the Republic of Turkey, to collect evidence from such authorities, to join any judicial proceedings, to forward all protests and replies, notices and demand services of process, call witnesses and/or take exceptions to them, challenge courts, justices, tender and/or accept oaths, effect all or any formalities before executive authorities, appoint all or any experts, auditors, arbitrators and sundry and/or revoke them, request all or any surveys, demand all or any measures attachment and/or distrain and/or precautionary judgements and/or restrain orders, and/or arrests and/or request their withdrawal, sign all or any applications and/or documents for the aforesaid purposes, collect all credence, sign receipts and discharges in connection with this credence apply to arbitration, compromise, settle, grant all waivers and releases and discharges, accept or reject all legal actions, waive from all legal actions, accept waivers from all legal actions, renounce any claims and appeals at the Court of Appeal and accept such renouncement, to carry out all types of legal procedures, before the agree to any such renouncement, perform all acts and deeds and carry out all formalities before the authorised departments and banks in order to forward to the company any amount collected by him/them, to present deposit(s) and to open bank accounts on our behalf, to make applications to Tax Offices in order to obtain tax numbers and carry out the relevant procedures before the Tax Offices, to pay all taxes, duties and charges, appoint all attorneys with partial or full powers of representation or revoke such appointments, in short perform all acts and deeds as the attorney(s) deemed expedient and necessary to protect the rights of the company in the case(s).
